Agreement to these Terms
These Terms of Service govern access to Simplify websites, private previews, early access programs, design partner programs, Flash Launch, SimpleTrip, and related services, documentation, interfaces, and product surfaces (collectively, the "Services"). "Simplify," "we," "us," and "our" mean [Simplify legal entity].
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company, team, customer, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree to these Terms or lack that authority, you may not use the Services.
If you and Simplify enter into a separate written agreement, order form, data processing agreement, security addendum, or design partner agreement, that written agreement controls where it expressly conflicts with these Terms.
Who may use the Services
The Services are designed for builders, founders, teams, companies, and other professional or organizational users. They are not directed to children. You must be at least 18 years old, or otherwise old enough and authorized under applicable law to use the Services for your organization.
You may use the Services only in compliance with applicable law, these Terms, product documentation, written instructions from Simplify, and any limits presented in the Services.
Organizations, accounts, and administrators
If accounts, workspaces, projects, teams, or administrator roles are made available, you are responsible for the users, permissions, credentials, domains, environments, applications, data, and activity associated with them. Administrators may be able to access, configure, suspend, export, delete, or otherwise control content and settings for their organization.
You are responsible for keeping account information accurate, protecting credentials and access tokens, using reasonable security practices, and promptly notifying Simplify of suspected unauthorized access or misuse.
Early access and product previews
Some Services may be provided through private preview, alpha, beta, early access, waitlist, or design partner programs. These Services may be incomplete, changed materially, limited, suspended, or discontinued at any time, especially where needed for reliability, security, legal compliance, product development, or operational judgment.
Early access Services are provided for evaluation and product development unless a separate written agreement states otherwise. Simplify does not guarantee that preview features will become generally available, remain available, or remain compatible with earlier versions.
Customer Content and applications
You retain ownership of your code, applications, files, text, data, prompts, outputs, configurations, logs, deployment metadata, domains, travel records, trip details, notes, feedback, and other materials you submit to, generate through, publish with, or process using the Services ("Customer Content").
You grant Simplify a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, reproduce, secure, monitor, analyze, back up, and otherwise use Customer Content only as needed to provide, maintain, protect, troubleshoot, support, and improve the Services, comply with law, and enforce these Terms or a written agreement.
You are responsible for Customer Content, including its legality, accuracy, quality, permissions, licenses, intellectual property rights, privacy compliance, security posture, and suitability for the environments where it is used. You should not submit regulated, sensitive, production, or third-party data unless you have confirmed that the relevant Service and agreement are appropriate for that data.
Published applications and end users
If you use the Services to publish, deploy, host, operate, or share an application, website, workflow, endpoint, or other public surface, you are responsible for that surface and its end users. This includes your terms, privacy notices, user support, moderation, security, accessibility, regulatory obligations, commercial claims, and compliance with laws that apply to your application or business.
Simplify may act as an infrastructure provider for customer applications, but Simplify is not the publisher, seller, operator, employer, professional advisor, travel provider, or customer support team for your application unless a separate written agreement says so.
Acceptable use
You may not use the Services to violate law, infringe or misappropriate rights, distribute malware, exploit vulnerabilities, interfere with platform operations, bypass security or access controls, overload infrastructure, scrape without permission, send spam, deceive users, impersonate others, or process content that creates material security, safety, legal, or operational risk.
You may not use the Services for unlawful surveillance, credential theft, phishing, harmful automation, unauthorized vulnerability testing, harassment, abuse, illegal marketplace activity, or content that exploits minors. You may not use the Services to build or operate systems where failure could reasonably lead to death, personal injury, severe property damage, or emergency response failure without a separate written agreement designed for that use.
Simplify may investigate suspected violations and may remove content, rate limit, suspend, restrict, or terminate access where we reasonably believe action is needed to protect the Services, customers, users, third parties, or Simplify.
Security responsibilities
You are responsible for securing your accounts, environments, source code, dependencies, secrets, credentials, access tokens, API keys, domains, end-user data, and application behavior. You should use least-privilege access, rotate exposed credentials, review third-party packages, and avoid storing secrets in public repositories or client-side code.
Simplify may provide security features, deployment safeguards, rollback paths, logs, boundaries, or observability surfaces, but those features do not remove your responsibility to design, test, monitor, and operate your own applications safely.
Third-party services, dependencies, and open source
The Services may interoperate with third-party services, infrastructure providers, repositories, package registries, app stores, maps, payment processors, AI tools, identity providers, analytics tools, communication providers, and other products not controlled by Simplify. Your use of third-party services is governed by their own terms and policies.
You are responsible for selecting and complying with third-party licenses, open source licenses, dependency obligations, usage limits, export controls, data processing terms, and fees that apply to your code, applications, workflows, or integrations.
Flash Launch-specific terms
Flash Launch is intended to provide a production path for AI-native builders by helping move generated or customer-provided code toward builds, deployments, releases, revisions, rollbacks, domains, secrets, runtime surfaces, jobs, workers, environments, and observability.
You are responsible for the code you import or generate, the dependencies you use, the open source and commercial licenses that apply, the rights you have to deploy the application, the application content and behavior, the end users you serve, the domains you connect, the secrets and environment variables you configure, the compliance obligations that apply, and the business or operational outcomes of each release.
Simplify may reject, pause, remove, roll back, disable, or limit builds, deployments, domains, workloads, or traffic where needed to protect infrastructure, comply with law, respond to abuse, prevent unauthorized access, preserve service integrity, or reduce material risk.
SimpleTrip-specific terms
SimpleTrip is an Apple-platform travel product for local-first trip planning, daily itineraries, maps, navigation-related information, check-ins, budgets, expenses, exports, records, and travel history. SimpleTrip content and third-party place, map, route, availability, timing, safety, pricing, and travel information may be incomplete, delayed, inaccurate, or unavailable.
SimpleTrip does not provide emergency services, professional travel advice, safety advice, legal advice, transportation services, lodging services, booking services, insurance, or guarantees about real-world conditions. You are responsible for independent judgment, local laws, safety decisions, bookings, documents, travel requirements, and use of official sources while traveling.
Fees and future paid services
The current public Terms do not create a paid subscription, automatic renewal, refund right, free trial, service credit, or billing commitment. If Simplify offers paid Services later, the applicable fees, taxes, billing period, cancellation method, renewal terms, refund terms, and payment obligations will be presented in the relevant checkout flow, order form, invoice, or signed agreement.
Unless a separate written agreement states otherwise, you are responsible for taxes, third-party charges, usage-based infrastructure costs, and costs created by your applications, users, traffic, storage, domains, integrations, or workloads.
Simplify intellectual property
Simplify and its licensors own the Services, website, product designs, interfaces, documentation, software, workflows, systems, infrastructure, names, logos, trademarks, and other Simplify materials. Except for the limited right to use the Services under these Terms, no rights are transferred to you.
You may not copy, modify, reverse engineer, resell, sublicense, frame, or create derivative works from the Services except as allowed by law, product documentation, or a written agreement with Simplify.
Feedback
If you provide ideas, comments, bug reports, product requests, recommendations, or other feedback, you grant Simplify the right to use that feedback without restriction or compensation. Simplify may use feedback to improve existing Services, develop new products, or inform product strategy.
Copyright and rights complaints
If you believe content available through the Services infringes your copyright, trademark, privacy, publicity, or other rights, contact legal@simplify-net.com with enough information for us to evaluate the issue, including the affected URL or asset, a description of the claimed right, your contact information, and a statement that you are authorized to act.
Simplify may remove or disable access to content, applications, deployments, or accounts that appear to infringe rights or create legal risk. Simplify may also terminate repeat infringers where appropriate. This section provides a rights complaint process and does not state that Simplify has registered a DMCA designated agent unless Simplify separately publishes that registration information.
Privacy
The Privacy Policy explains how Simplify handles personal information. You are responsible for providing any privacy notices, consents, data processing terms, and user rights processes required for your own applications, end users, employees, contractors, customers, or travel records.
Suspension and termination
You may stop using the Services at any time. Simplify may suspend, limit, or terminate access to any Service, account, workspace, application, deployment, domain, or content if we reasonably believe you violated these Terms, created risk, failed to comply with law, infringed rights, threatened service integrity, or used the Services in a way that could harm Simplify, customers, users, or third parties.
After suspension or termination, access to Customer Content may be limited or unavailable. Simplify may retain or delete information in accordance with the Privacy Policy, product functionality, legal obligations, security needs, backup practices, dispute resolution, and enforcement of agreements.
Disclaimers
The Services are provided "as is" and "as available" unless a separate written agreement states otherwise. To the maximum extent permitted by law, Simplify disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, uninterrupted operation, and error-free operation.
Simplify does not make public claims about certifications, audit reports, service levels, uptime commitments, compliance programs, customer outcomes, revenue, launch success, travel safety, data recovery, or production readiness unless expressly stated in a signed agreement or approved public statement.
Limitation of liability
To the maximum extent permitted by law, Simplify and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, lost data, security incidents, service interruptions, deployment failures, application errors, third-party services, or substitute services, even if advised of the possibility of those damages.
To the maximum extent permitted by law, Simplify's total liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Simplify for the affected Service in the three months before the event giving rise to liability, or (b) USD $100. The limitations in this section apply regardless of legal theory and are an essential basis of these Terms.
Indemnification
You will defend, indemnify, and hold harmless Simplify and its affiliates, officers, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your Customer Content, applications, deployments, domains, end users, use of the Services, violation of these Terms, violation of law, infringement or misappropriation of rights, third-party services, or dispute between you and your users or customers.
Governing law and venue
These Terms are governed by the laws of [State/Country], without regard to conflict of law rules. The courts located in [courts/venue] will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless a separate written agreement states otherwise or applicable law requires a different forum.
Before filing a claim, each party will make a reasonable good-faith effort to resolve the dispute by contacting the other party and describing the issue in enough detail to allow practical review.
Changes to these Terms
Simplify may update these Terms as the Services, company, law, or operational needs evolve. If changes are material, we will take reasonable steps to provide notice, such as posting an updated date or providing notice through the Services. Continued use of the Services after updated Terms become effective means you accept the updated Terms.
